the steering committee is moving fwd with the transition towards becoming a "real" co-op. i wanted to share what we have decided about the co-op membership investment. i have agreed that this is going to be in lieu of the historical PGP/KTF membership drive that i do every year in January. the membership equity will be held in escrow until we have 100 member-owners signed up and hold elections to form a Board of Directors where we elect up to 12 directors. we are still working on the details around what will happen if we do not reach 100 members and therefore do not form a co-op, but my sense is the money would be refunded and the annual PGP/KTF $25 suggested membership fee will be reinstated.

What are the benefits of Member-Ownership?

Having a store — the biggest benefit!
Part ownership of The Warehouse
Special members-only discounts
A vote in Board member elections and on special issues
Eligibility to serve as a Board member (once we have 100 Member-Owners we will hold elections for the Board positions)
Patronage refund program
Discounts from other participating businesses
Eligibility for our Volunteer program
Note: Member-Owner equity is always at risk and potentially not available for refund. We are planning for sufficient cash flow from operations and new memberships to support potential requests for refunds after the store has been open at least two years.

yes, the co-op membership is a one time investment that makes you a member-owner of the co-op. it is refundable when you leave the co-op (with the Board's approval).

we are going to go thru a 12 month transition to move from the current biz structure (sole proprietor LLC) to a co-op. lots of things will need to be decided still, but i believe the KTF forum will become part of the co-op's assets. the board will then decide if forum access is a member only benefit or open to all.

until those things have been decided by the future Board, things will remain as they are.

I choose the $30 payment option but it wasn't clear if it will auto charge the other 4 payments or if I have to remember to do this?

So you're saying that in order to buy thru KTF, such an occasional Hummingbird purchase, I would now need to be a member/owner of the co-op by buying into it? The previous PGP/KTF membership was only $25 or $50 per year, right? And then this new, much larger fee would be a lifetime membership, with access to all KTF and forum? Is this the only option, going forward?

Doesn't show up on my screen. I've scrolled all the way down. There is a big blank space in the middle...maybe that's where it's supposed to be?

a lot of details are still being worked out, but yes, ordering online thru the KTF catalog and enjoying the low prices will become a member-owner benefit once we have completed the transition (hopefully by Oct 2013). until then, while i am still the owner of the buying club, i am not going to block anyone from participation.

yes, the new co-op membership share of $150 is a one-time investment (it is not considered income by the IRS and therefore not taxable). it is a larger sum, but it is intended to be refunded if/when you leave the co-op (with the Board's approval), so this is very different than the annual membership fee, which was not refundable and taxed as income to me. the new membership share (aka equity or investment) is how we are intending to capitalize the co-op so that it can buy all of the assets KTF/warehouse café currently owns. basically we will all become equal co-owners of all the assets, equipment, inventory etc... and as co-owners we all get to profit share (in the form of patronage refunds) and of course, vote and make decisions and run for the Board.

becoming a member-owner will give you access to KTF online ordering and the KTF forums (they will be split off from the PGP website most likely).
